Legal Agreement

Overview

This Agreement is made between Visual Web Technologies and you, and it takes effect on the date you use this website (termed as “Site) or the date of electronic acceptance.

This Agreement set forth the general terms and conditions for your use of the Site, as well as the products and services purchased or accessed through the Site (known as “Services). Service Agreements and other policies apply to specific services and supplements (rather than replace) this Agreement. However, if the terms of a Services Agreement conflict with the terms of this Agreement, the terms of the applicable Service Agreement take precedence.

The terms “we,” “us,” and “ours,” refer to Visual Web Technologies. Any individual or entity who accepts this Agreement has access to your account, or uses the Services is referred to as “you,” “your,” “User,” or “customer.” Nothing in this Agreement should be construed as granting any third party any rigVisual Web Technologies or benefits.

Modification Of Agreement, Site, Or Services

Visual Web Technologies reserves the right, in its sole discretion, to change or modify this Agreement, as well as any policies or agreements incorporated herein, at any time, and such changes or modifications will be effective immediately upon posting on this Site.

Acceptance of this Agreement is deemed to occur when you use this Site or the Services after such changes or modifications. If you do not agree to be bound by this Agreement, do not use or continue to use this Site or Services.

Visual Web Technologies may also send you email notifications informing you of changes or modifications to this Agreement from time to time. As a result, you must keep your account information current. Furthermore, Visual Web Technologies accepts no liability or responsibility if you do not receive an email notification because of the incorrect email address. Furthermore, if you breach or violate any of the terms of this Agreement, Visual Web Technologies may suspend or terminate your use of Services.

Eligibility; Authority

This Site and Services are only applicable to individuals or Users who are legally capable of entering into legally binding contracts under applicable law. By using this Site or the Services, you acknowledge and agree that you are (i) at least 18 years of age or more, (ii) otherwise recognized as being able to form legally binding contracts under the applicable law, or (iii) not a person barred from purchasing or receiving the services under any other applicable jurisdiction.

If you are entering into this Agreement on behalf of a corporation, you represent and warrant that you have the legal authority to bind such corporation to the terms and conditions outlined in this Agreement. In that case, the terms “you,” “your,” “User,” or “customer” refer to that corporate entity.

If Visual Web Technologies discovers after your electronic acceptance of this Agreement that you do not have the legal authority to bind such a corporate entity, you will be personally liable for the obligations contained in this Agreement.

Visual Web Technologies will not be liable for any loss or damage incurred as a result of Visual Web Technologies reliance on any instruction, notice, document, or communication that Visual Web Technologies reasonably believes is genuine and originated from an authorized representative of your corporate entity.

However, Visual Web Technologies reserves the right to request additional authentication if it has reasonable doubts about the authenticity of such instruction or notice.

Account

To access some of the features of this Site or use some of the Services, you will need to create an account. You agree to provide Visual Web Technologies with accurate, up-to-date, and complete information while creating your account. Visual Web Technologies reserves the right, in its sole discretion, to suspend or terminate your account if Visual Web Technologies has a reason to believe that your account information is false, inaccurate, or untrue. Moreover, you are solely responsible for all the activity on your account, whether or not authorized by you. You must also keep your account information secure, such as your customer number or login credentials, Payment methods, etc.

For security reasons, Visual Web Technologies recommends changing your password for each account at least once every six months. Any breach of security or unauthorized use of your accounts, however, must be immediately reported to Visual Web Technologies. Visual Web Technologies is not responsible for any losses you may incur as a result of unauthorized use of your Account.

General Rules

You represent and warrant to the following:

• This Agreement, any applicable Service Agreement or policy that may apply to your Services, and all other local, national, and international laws and rules and regulations govern your use of this Site and Services.
• You will not collect or allow anyone else to collect any User content or personally identifiable information unless that User expressly consents in writing.

• You will not use this Site or the Services in a way that Visual Web Technologies, in its sole discretion, deems inappropriate:

  i. Is illegal or promotes any illegal activity

  ii. Promotes or participates in child exploitation, or any activity related to the spread of child sexual abuse materials.

  iii. Terrorism, violence against people, animals, or property is promoted or encouraged.

  iv. Promotes, encourages, or participates in any form of spam or unsolicited bulk email, as well as computer or network hacking.

  v. Infringes the Online Sex Trafficking Act or similar legislation or promotes prostitution or sex trafficking.

  vi. Infringes the Online Pharmacy Consumer Protection Act or promotes or engages in the sale or distribution of prescription medication without a valid prescription.

  vii. Violates on another User or any other person’s intellectual property rigVisual Web Technologies.

  viii. Violates any other User’s or person’s or entity’s privacy or publicity rigVisual Web Technologies.

  ix. Installs any virus, worms, bugs, or other codes designed to damage or limit the functionality of any software or hardware.

  • Except where expressly authorized by Visual Web Technologies, you will not copy or distribute any part of this Site or the services in any medium.
  • You will not modify or alter any part of this Site, its Services, any of its related technologies.
  • You agree to backup all of your User Content so that you can access and use it when necessary.
  • Without Visual Web Technologies prior written consent, you will not resell or provide the services for a commercial purpose.
  • You agree to provide government-issued photo identification and business identification as needed for identification verification when requested.
  • If your purchase or account activity demonstrates a sign of fraud, abuse, or suspicious activity, Visual Web Technologies reserves the right to cancel any service associated with your account, name, or email address. In addition, if you engaged in any fraudulent activity, Visual Web Technologies reserves the right to take any necessary legal action, and you will be liable for Visual Web Technologies’s monetary losses, including costs and damages.

Data Protection

Visual Web Technologies provides you with certain hosted Services that may require the submission, collection, and use of personally identifying information about you and your customers in the course of the use of these Services (also known as Covered Services). For this section, your data does not include any User Content.

Covered Services include hosted services subject to the terms and conditions of the following Agreements. (1) Hosting, (2) Dedicated Servers, (3) Virtual Private Servers

User Content

Users may be able to view, post, publish, share, store, or manage certain features of this Site or the Services, including those hosted by Visual Web Technologies

• Ideas, opinions, recommendations, or advice through forum posts, product reviews, etc. or
• Artistic, musical, or other content.

However, User content refers to all content submitted through your Account. By posting or publishing User Content to this Site or through the Services, you acknowledge and agree to Visual Web Technologies that

• You have all the necessary rigVisual Web Technologies to distribute User Content via this Site or through the Services, either because you are the author of the User Content and have the right to distribute it, and
• The User Content does not violate the rigVisual Web Technologies of any third party.

You are solely responsible for all of your User Content, including User Content submitted through your account.

Website Or Services Availability

Subject to the terms and conditions of this Agreement, we will use commercially reasonable efforts to provide this Site and the Services twenty-four (24) hours a day, seven (7) days a week. You represent and warrant that this Site may be unavailable or inoperable from time to time due to a variety of factors, including equipment malfunctions; routine maintenance, or repairs that we perform from time to time; or causes beyond our reasonable control, such as network congestion or other failures. Furthermore, you acknowledge and agree that we have no control over the continuous or uninterrupted availability of this Site or the Service.

Product Credits

You acknowledge and agree that any product credit you receive, whether for the redemption of a specific product or for free with the purchase of another product, is only valid for one year and is only available with a valid purchase and that it may be terminated if the product purchased is deleted, cancelled, transferred, or not renewed.

If the Credit is not redeemed within one year of the date of purchase of the Purchased Product, it shall stand expired. However, after the initial subscription period, if the credit is used, the product will automatically renew at the then-current renewal price. If you want to stop the product from renewing automatically, go to your Account page or contact Customer Service.

Monitoring Content; Termination Of Account

In most cases, Visual Web Technologies does not pre-screen User Content. Visual Web Technologies, on the other hand, reserves the right to do so and to determine whether any User Content is appropriate or complies with this Agreement. For posting any material in violation of this Agreement, Visual Web Technologies may remove any item of User Content or terminate a User’s access to this Site. Furthermore, if Visual Web Technologies has reason to believe that the User is a repeat offender, the User’s access to this Site or Services available on this Site may be terminated.

Discontinuation Of Services; End Of Life Policy

Visual Web Technologies reserves the right to discontinue any services or individual features, functionalities, or aspects of Services at any time, for any or no reason, and without prior notice.

Despite Visual Web Technologies’s best efforts to extend the life of all of its Services and features, functionalities, or aspects of the Services, there are times when a Service, a specific feature, or an aspect of Service that we provide will be discontinued or reach its End-of-Life (“EOL”). If this is the case, Visual Web Technologies will no longer support those services, or any specific feature or aspect of those Services, as of the EOL date.

Moreover, if any of our services has reached or will reach end-of-life status, we will make every effort to notify you thirty (30) days or more before the end-of-life (EOL) date. Before the EOL date, you must take all necessary steps to replace the Service by migrating to a new Service. If available, Visual Web Technologies may migrate you to the most recent version of the Service with or without notice to you.

Any modification, suspension, or discontinuance of any Service we may offer or facilitate access to will not be liable to you or any third party.

General Terms

Payment due at the time of Order: You agree to pay all amounts for services at the time they are ordered. Unless otherwise stated in the Policy, all payments are non-refundable.

Price Changes: Visual Web Technologies reserves the right to change its prices and fees at any time, and such changes will be posted on the Site and will become effective immediately without further notice to you.

Payment types: You may pay for Services using any of the following “Payment Methods,” unless otherwise specified in any product-specific agreement.

• A valid Credit Card
• Electronic Payment from your personal or business account, as applicable, etc.

However, your account’s email address on file will receive confirmation of that order.

NO Spam

We do not tolerate spam transmission. We keep an eye on all traffic to and from our web servers for signs of spamming. Customers who are suspected of using our products and services to send spam are thoroughly investigated.

Spam is defined as sending Unsolicited Commercial Email, Unsolicited Bulk Email to recipients without first obtaining prior confirmed consent to receive these communications. This includes the following:

• Email Messages
• Pop-up messages
• Text or SMS Messages
• Newsgroup Postings
• Website Forum Postings

We may re-direct, suspend, or cancel any account, website hosting, domain, registration, or other applicable products or services if we determine that the account, products, or services in question are being used in connection with spam.

No Third-Party Beneficiaries

Nothing in this Agreement should be construed as conferring any rigVisual Web Technologies or benefits to third parties.

English Language Controls

This Agreement along with other policies and applicable product agreements listed above, is written in English. Any translation provided to you is solely for your convenience, and in the event of a conflict between the English and translated versions, the English version will prevail.
